第四章為在平等互利的基礎(chǔ)上發(fā)展貿(mào)易，有關(guān)方按下列條件簽訂本協(xié)議：This Agreement is entered into between the parties concerned on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:1. 訂約人 Contracting Parties供貨人（以下稱甲方）：銷售代理人（以下稱乙方）：甲方委托乙方為銷售代理人，推銷下列商品。Supplier: （hereinafter called “party A”）Agent:（hereinafter called “party B”）Party A hereby appoint Party B to act as his selling agent to sell the commodity mentioned below.2. Confirmation of Orders：The quantities, prices and dates of shipments of the shipment concerning the commodities stated in this Agreement shall be confirmed in each transaction, the particulars of which will be shown in Party As S/C. 協(xié)議商品的有關(guān)數(shù)量、價(jià)格和裝船期，應(yīng)在逐筆交易中確認(rèn)，其細(xì)節(jié)詳見甲方銷貨確認(rèn)書。5. 付款PaymentAfter confirmation of the order, Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sight in favour of Party A within the time stipulated in the relevant S/C. Party B shall also notify Party A immediately after L/C is opened, so that Party A may make preparations for shipment. 在訂單確認(rèn)后，乙方應(yīng)于有關(guān)銷貨確認(rèn)書規(guī)定的時(shí)間內(nèi)，安排開立以甲方為受益人的、百分之百金額的、不可撤銷的即期信用證。并于開證后立即通知甲方以便甲方準(zhǔn)備裝運(yùn)。 6. 傭金CommissionA per cent (%) commission on invoice value against each shipment will be remitted to Party B by Party A after receipt of the payment.甲方于收妥貨款后，按每批貨物發(fā)票價(jià)值的百分之向乙方匯付傭金。7. 市場情況報(bào)告Reports on Market ConditionsParty B shall have the obligation to forward once every three months to party A detailed reports on current market conditions and of consumers comments. Meanwhile, Party B shall, from time to time, send to party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising material. 乙方有義務(wù)每三個(gè)月向甲方寄送一次詳細(xì)的報(bào)告，反映當(dāng)?shù)氐氖袌銮闆r和消費(fèi)者意見。乙方還應(yīng)隨時(shí)將其他供貨人所報(bào)同樣商品的樣品，連同其價(jià)格、銷售情況、廣告資料等寄給甲方參考。 8. 宣傳廣告費(fèi)用Advertising & Publicity ExpensesParty B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all drafts and/or drawings intended for such purposes for prior approval. 乙方應(yīng)負(fù)擔(dān)協(xié)議期在上述地區(qū)的一切廣告宣傳費(fèi)用。所有用作廣告宣傳的草稿和繪圖必須送交甲方取得事前同意。9. 協(xié)議有效期Validity of AgreementThis Agreement, when duly signed by the parties concerned, shall remain in force for. to be effective as from .to.If a renewal of this Agreement is desired, notice in writing shall be given by either party one month prior to its expiry. Should one of the parties fail to comply with the terms and conditions of this Agreement, the other party is entitled to terminate this Agreement. 本協(xié)議經(jīng)有關(guān)雙方簽字后保持有效年，從某日期起到某日期止。如果一方需要延長協(xié)議，必須在滿期前一個(gè)月書面通知另一方。如果一方未能履行協(xié)議條款，另一方有權(quán)終止本協(xié)議。 10. 仲裁ArbitrationAll disputes arising from the execution of this Agreement shall be settled through negotiation between both parties. In the event that no settlement can be reached, the case in dispute shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission, Beijing, in accordance with its rules of Arbitration. The decision made by this Commission shall be regarded as final and binding upon both parties. 凡執(zhí)行協(xié)議引起的一切爭議，應(yīng)通過雙方協(xié)商解決。如協(xié)商不成，應(yīng)提交北京中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，按其仲裁程序暫行規(guī)定則進(jìn)行仲裁。該委員會的裁決是終局的，并約束雙方。 11. 其他條款Other Terms & Conditions (1) Party A shall not supply the contracted commodity to any other buyer(s) in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so. But party A shall send to Party B a copy of Sales Confirmation and give Party B.% commission on the basis of the net invoice value of the transaction concluded. 甲方不應(yīng)向上述地區(qū)的其他客戶供應(yīng)協(xié)議商品。如有任何直接詢盤均要轉(zhuǎn)介乙方。但是，如有任何客戶堅(jiān)持要與甲方直接交易，甲方有權(quán)直接成交。在后一情況下，甲方應(yīng)送給乙方銷貨確認(rèn)書副本一份，并按該筆交易發(fā)票凈值的百分之為乙方保留傭金。(2) Should Party B fail to pass on his orders to Party A in a period of . months for a minimum of ., Party A shall not bind himself to this Agreement. 如果乙方未能在.月內(nèi)向甲方寄送至少某某數(shù)量或金額的訂單，則甲方不再受本協(xié)議的約束。 (3) For any business transacted between governments of both Parties, Party A may handle such direct dealings as authorized by Party As government without binding himself to this Agreement. We have agreed to process and assemble. . . Color TV sets within two years.我方同意在兩年內(nèi)加工裝配彩色電視機(jī)臺。2. You have agreed to provide us with materials, components, necessary equipment and tools, as well as the relevant technical data and blue prints needed for doing the processing and assembling.你方同意向我方提供材料、部件、必需的設(shè)備和工具以及加工裝配需要的技術(shù)資料和藍(lán)圖。3. After processing and assembling the materials and components into finished products (Color TV Sets), we shall deliver once a month . . . sets to you or other firms designated by you. The supplied materials and components shall be delivered to our warehouse at your expense. If any defect is found in the materials and components supplied by you, we will advise you of it immediately, and you will send over replacements in time. The allowance for damage to materials and components in the course of processing and assembling is 2. 5%. 你方應(yīng)將所提供的材料和部件自費(fèi)送到我方倉庫。如果發(fā)現(xiàn)來料來件有缺點(diǎn), 我方將立即通知你方及時(shí)調(diào)換。在加工裝配過程中, 材料、部件的損壞率為2. 5% 。5. The processing and assembling charges for each set are HK. . . and the payment is to be made by sight L/C to be opened by you not later than 30 days before shipment. 加工裝配費(fèi)為每臺港元。在成品裝船30 天前由你方開出即期信用證付款。6. Insurance for the materials, components and finished or semi-finished products while in our warehouse or factory premises, and for finished products during transit from Zhuhai to destination is to be taken care of by us on your behalf. You shall send over at your expense 4 technicians and 2 administrative staff members to our factory to render technical assistance during processing and assembling, inspect the finished products and take them over before delivery. On taking over the products, your representatives shall give us a RECEIPT certifying that the finished products have been inspected and found to be up to the standard required by Contract.你方應(yīng)自費(fèi)派遣四名技術(shù)員和兩名行政人員到我方工廠為加工裝配提供技術(shù)援助,并在交接貨物之前驗(yàn)收成品。你方代表在接收成品時(shí)應(yīng)開具收條, 證明成品經(jīng)檢驗(yàn)達(dá)到合同要求的標(biāo)準(zhǔn)。10. Commodity: 商品:(1) Party A undertakes to supply in one shipment a complete set of Equipment for asparagus processing line, the details of which are shown in the attached List A.甲方保證整批供應(yīng)蘆筍加工全套設(shè)備, 細(xì)節(jié)詳見附表一。( 2 ) Party B undertakes to compensate Party A for the contract amount by exporting in two lots 3, 000 cartons Canned Asparagus. Specifications are detailed in the attached List B.乙方保證出口兩批共3 000 紙箱蘆筍罐頭以向甲方補(bǔ)償設(shè)備合同金額。規(guī)格詳見附表二。2. Price: 價(jià)格:( 1 ) At J ￥22, 200, 000. 00 per set of Equipment CFR Qingdao consisting of: 加工設(shè)備每套的成本加運(yùn)費(fèi)到青島價(jià)格為2 220 萬日元, 包括:J ￥20, 300 , 000. 00 FOB Yokohama 橫濱離岸價(jià) 2 030 萬日元J ￥950, 000. 00 Ocean Freight 海洋運(yùn)費(fèi) 95 萬日元J ￥950, 000. 00 Interest 利息 95 萬日元( 2 ) At J ￥7, 400. 00 per carton of Canned Asparagus FOB Qingdao蘆筍罐頭每紙箱青島離岸價(jià)7 400 日元。3. Time of Shipment: 裝船期:( 1 ) By the end of February, 20 ( for Equipment) 加工設(shè)備在20 年底;( 2 ) During July /August, 20 ( for Canned Asparagus)蘆筍罐頭在20 年七、八月份。4. Port of Shipment: 裝貨港:( 1 ) Yokohama, Japan ( for Equipment) 加工設(shè)備在日本橫濱;( 2 ) Qingdao, China ( for Canned Asparagus) 蘆筍罐頭在中國青島。5. Port of Destination: 目的港:( 1 ) Qingdao, China ( for Equipment) 加工設(shè)備到中國青島;( 2 ) Yokohama, Japan ( for Canned Asparagus) 蘆筍罐頭到日本橫濱。6. Terms of Payment: By reciprocal letters of credit 支付條款: 用對開信用證。(1) Party B shall, within 15 days after signing this Agreement, establish in favour of Party A an irrevocable Bankers Acceptance L/C in payment for the Equipment, for an amount not less than J ￥22, 200, 000. 00, available by draft at 180 days sight. The irrevocable L/C will be effective only after receipt by Party B of a satisfactory reciprocal L /C opened by Party A for payment of the Canned Asparagus. After receipt of the irrevocable L/C, Party A shall effect shipment of the Equipment in time, provide the required documents according to Article 7 of this Agreement together with the draft at 180 days sight, and obtain its banks acceptance.乙方在簽約后15 天內(nèi), 為加工設(shè)備開出以甲方為受益人的、不可撤銷的、銀行承兌的信用證, 其金額不少于2 220 萬日元, 見票180 天付款。這份不可撤銷的信用證, 只有在乙方收到甲方為蘆筍罐頭對開的信用證后才能生效。甲方在收到這份不可撤銷的信用證后, 應(yīng)及時(shí)裝運(yùn)加工設(shè)備, 提供本協(xié)議第七條所需的單證和180 天期的匯票, 以便取得他的銀行的承兌。( 2 ) From the date of acceptance of the draft and not later than 7 days thereafter , Party A shall reciprocally establish in favour of Party B an irrevocable L/C in payment for the Canned Asparagus, for an amount not less than J ￥22, 200, 000. 00, available by sight draft. The stipulations of this reciprocal L/C shall be in conformity with those in this Agreement.甲方應(yīng)在其匯票得到銀行承兌后7 天內(nèi)為蘆筍罐頭對開以乙方為受益人的、不可撤銷的信用證, 其金額不少于2 220 萬日元, 見票即付。該對開信用證的條款應(yīng)與本協(xié)議的規(guī)定一致。7. Documents: 單證:Both parties shall present to the paying bank the following documents for negotiation: 雙方在議付時(shí)均應(yīng)向付款行交送下列單證:( 1 ) One set of negotiable clean on board Bill of Lading made out to order, blank endorsed and marked:整套可轉(zhuǎn)讓的、已裝船的、清潔的、待指定的、空白背書提單, 并分別注明:a. “Freight Prepaid” (in the case of Equipment) 加工設(shè)備的“ 運(yùn)費(fèi)已付”;b. “Freight to be collected” (in the case of Canned Asparagus)蘆筍的“ 運(yùn)費(fèi)待收”。( 2 ) Three copies of Invoice. 發(fā)票一式三份。( 3 ) Three copies of Packing List. 裝箱單一式三份。( 4 ) Certificate of Quality issued by the Manufacturer or a competent authority. 制造廠或有關(guān)當(dāng)局出具的品質(zhì)檢驗(yàn)證。( 5) Copy of the fax sent to the Buyer immediately after shipment, advising the vessels name, date of shipment, quantity and amount involved.裝船后立即發(fā)給買方的有關(guān)船名、裝船日期、數(shù)量、金額的傳真通知的副本。8. Guarantee of Quality: 品質(zhì)保證:(1) Party A guarantees that the Equipment is made of the best materials with first class workmanship, brand-new and unused, and complies in all respects with the quality and specifications stipulated in this Agreement. The guaranteed period shall be 12 months counting from the date of the Bill of Lading.甲方保證該設(shè)備是用最好材料和頭等工藝制造的, 嶄新而未用過, 在各方面均符合本協(xié)議的品質(zhì)和規(guī)格的規(guī)定。保證期為12 個(gè)月, 從提單日期起算。( 2 ) Party B guarantees that the Canned Asparagus is up to the Chinese Export Standard. 乙方保證蘆筍罐頭品質(zhì)達(dá)到中國出口標(biāo)準(zhǔn)。9. Remarks: 備注:Party A shall despatch an engineer to the installation site to assist the installation work and test run. Air tickets between China and Japan shall be for Party As account, and such expenses as for inland traffic, meals and lodging in China shall be borne by Party B. 甲方應(yīng)派一名工程師到安裝現(xiàn)場, 協(xié)助安裝和試車工作。中日間的機(jī)票費(fèi)用應(yīng)由甲方負(fù)擔(dān); 中國境內(nèi)的交通食宿費(fèi)則由乙方負(fù)擔(dān)。Party A Party B(signed) (signed)Signed at Qingdao this 5th day of January, 20第七章A Finance Lease Agreement 融資租賃協(xié)議The Lessee, AA Plant, Zhanjiang( hereinafter referred to as Party A) and the Lessor BB Lease, Tokyo ( hereinafter referred to as Party B) hereby agree to make and enter into this Agreement in accordance with the following terms:承租人湛江AA 工廠( 以下簡稱甲方) 與出租人東京BB 租賃公司( 以下簡稱乙方) 同意訂立本協(xié)議, 條款如下:1. Party A hereby leases from Party B the equipment as specified in the Annex, which shall constitute an integral part of this Agreement.甲方向乙方租進(jìn)附件所列的設(shè)備; 該附件是本協(xié)議的組成部分。2. The term of the lease shall be ten years commencing from the date of the Bill of Lading referred to in Article 4. The total rent shall be J ￥. . . (say Japanese Yen. . . ) to be paid in twenty equal instalments by telegraphic transfer to Party Bs account with the bank designated by Party B. Each instalment shall be paid by Party A within every six months after the date of the Bill of Lading. If Party A delays in paying any of the instalments, it shall pay Party B interest for the delayed time at the rate of one percent over and above the long-term prime rate of the said Japanese bank.租賃期為10 年, 從第四條的提單日期開始起算。租金總額為 日元, 分20 次平均交付, 電匯給乙方指定的銀行賬戶。甲方應(yīng)從提單日期起算每6 個(gè)月交租一次; 如有任何一次遲交, 則按遲交時(shí)間在該日本銀行長期基本利率基礎(chǔ)上向乙方多交1% 的利息。3. Party A shall book shipping space and pay the freight for the Equipment at the agreed time and advise Party B of the vessels name and the loading berth and time. Party B shall then deliver the goods on board accordingly, and notify Party A by fax on completion of the loading so that Party A can effect insurance. Party A shall pay insurance premium and have the Equipment insured with the Peoples Insurance Company of China against All Risks and War Risk when the Equipment is on board the vessel to Zhanjiang, and against usual risks after landing at Zhanjiang. The total insured amount shall be no less than 130% of the FOB value of the Equipment. Party A shall provide Party B with a certificate evidencing the insurance cover.甲方按議定的時(shí)間訂載并支付運(yùn)費(fèi), 并將船名、受載泊位和時(shí)間通知乙方。乙方按照通知辦理裝船并用傳真通知甲方投保。甲方應(yīng)于設(shè)備運(yùn)往湛江時(shí)向中國人民保險(xiǎn)公司投保綜合險(xiǎn)和戰(zhàn)爭險(xiǎn), 在湛江卸貨后則投保慣用的險(xiǎn)別并負(fù)擔(dān)保險(xiǎn)費(fèi); 保險(xiǎn)額不得低于該設(shè)備離岸價(jià)值的130% 。甲方還應(yīng)向乙方提供一份已辦保險(xiǎn)的證明書。4. Party B shall, after effecting shipment, forward forthwith to Party A through CC Bank the undermentioned documents:乙方裝船后應(yīng)立即通過CC 銀行向甲方寄送下列單證:( 1) A full set of negotiable clean on board Bill of Lading in triplicate , made out to order of the shipper , blank endorsed, notifying Party A, and evidencing that shipment has been effected on or before November 30, 20 from Yokohama to Zhanjiang.整套可轉(zhuǎn)讓已裝船清潔提單一式三份, 憑托運(yùn)人指示, 空白背書, 通知甲方, 證明已于20年11 月30 日或以前由橫濱裝往湛江;( 2) Invoice in quintuplicate indicating the Equipment shipped and the Agreement number, and confirming that the Equipment shipped agrees with that specified in the Annex. 發(fā)票一式五份寫明已裝的設(shè)備和合同號碼并確認(rèn)所裝的設(shè)備與附件所列的相符;( 3 ) Packing List /Weight Memo in quintuplicate stating contents, gross weight and net weight. 裝箱單或磅碼單一式五份, 講明內(nèi)裝貨物、毛重和凈重;( 4 ) Inspection Certificate in duplicate issued by the Manufacturer .廠方出具的檢驗(yàn)證明書一式兩份;( 5 ) Two copies each of the above-mentioned documents shall be airmailed to Party A direct, immediately after shipment. Instruction Manuals, Service Manuals and Technical Information concerning the Equipment shall be forwarded to Party A together with it. A certificate to this effect should be provided.上述單證每樣兩份應(yīng)于裝船后立即航空直寄甲方。有關(guān)設(shè)備的說明手冊、維修手冊和技術(shù)資料應(yīng)與設(shè)備一起附送。并提供一份上述事項(xiàng)已經(jīng)照辦的證明書。5. After arrival at Zhanjiang, the Equipment shall be subject to inspection by Party A to ensure conformity with the Agreement. If any discrepancy is found out within fifteen days after its arrival, Party A has the right to make a claim against Party B, who shall answer the claim within three weeks after receiving it.設(shè)備運(yùn)抵湛江后須經(jīng)甲方檢驗(yàn)以確定是否與合同規(guī)定相符。如果貨到15 天內(nèi)發(fā)現(xiàn)任何差異, 甲方有權(quán)向乙方提出索賠, 乙方須于收到后3 周內(nèi)答復(fù)。6. The quality of the Equipment shall be guaranteed for a period of three years from the date of the Bill of Lading mentioned in Article 4. In case there is a break-down of the Equipment during the validity of the guarantee due to poor workmanship and /or quality of materials or parts used, Party B shall replace the defective parts or materials free of charge and bear the whole expense incurred in effecting repairs. Party B shall in no case be held responsible for breakdowns resulting from wrong handling of the Equipment by employees of Party A.設(shè)備質(zhì)量保證期為3 年, 從第四條的提單日期起算。在保證期內(nèi)如果由于工藝或所用原料、零件的品質(zhì)不好而使設(shè)備損壞時(shí), 乙方應(yīng)負(fù)責(zé)免費(fèi)更換這些零件或原料, 并負(fù)擔(dān)一切維修費(fèi)用。但對甲方人員錯誤操作設(shè)備而導(dǎo)致的損壞, 乙方概不負(fù)責(zé)。7. During the term of the lease, the Lessee shall be responsible for the maintenance and repairs of the leased equipment at its own expense, so as to keep it in proper and working condition. 在租賃期間, 承租人應(yīng)自費(fèi)保養(yǎng)維修所租的設(shè)備, 保持正常使用狀態(tài)。8. On paying the last instalment of the rentals, Party A may pay Party B an additional sum of J ￥. . . for the residual value of the Equipment to buy in the entitlement to its full ownership. 在付最后一筆租金時(shí), 甲方可加付設(shè)備殘值 日元將設(shè)備購為己有。9. Within a month after signing this Agreement, Party A shall provide Party B with a Letter of Guarantee issued by CC Bank to ensure that Party A will pay the rentals in accordance with the stipulations of this Agreement.甲方應(yīng)于簽約后一個(gè)月內(nèi)向乙方提供由CC 銀行出具的保函, 擔(dān)保甲方按照合同規(guī)定交租。10. Party B shall not be liable for delay in shipment, or non-delivery of the Equipment due to force majeure, which includes war, floods, fires, typhoons, snowstorms, and earthquakes. Party B shall advise Party A promptly of such disaster, and if the disaster lasts for more than ten weeks, Party A has the right to cancel the Agreement.由于不可抗力如戰(zhàn)爭、水災(zāi)、火災(zāi)、臺風(fēng)、雪暴、地震而遲交或不交設(shè)備時(shí), 乙方可以免責(zé)。發(fā)生這種災(zāi)禍時(shí)乙方應(yīng)立即通知甲方。如災(zāi)禍長達(dá)10 周以上, 甲方有權(quán)取消合同。11. Any dispute arising out of this Agreement shall be settled by amicable discussion between the parties.
