Material Purchase Contract THIS CONTRACT (“Contract”) is made and entered into at Bayah, Indonesia on this day of 15 June, 2013 under terms and conditions as per the laws of the republic of Indonesia by and between: The Buyer: PT. Mandiri Putri Tel: 085324240009 Whereby after friendly consultations conducted in accordance with the principles of equality and mutual benefit, Buyer agrees to buy from seller and seller agrees to sell to buyer Building Materials under the following terms and conditions: 1. Buyer shall give seller the material demand schedule based on site situation, and seller shall, at the time and with the material quantity required by buyer, supply to buyer the materials that meet the quality requirements according to the material demand schedule; 2. Seller shall be responsible to delivery and unload the material at the location appointed by buyer. Before the unloading of materials, buyer and seller shall jointly inspect the quality and quantity of delivered materials on site and sign to acknowledge the receipt of material hereto; 3. Buyer and Seller shall, at the end of each month, confirm and verify the supplied materials for the current month. After the confirmation, Seller shall submit to buyer the value-added tax invoice (pph) in accordance with the confirmed work quantity and contract price; Buyer shall pay the payment for materials to Seller after receipting VAT invoice. 4. Buyer shall ensure that the transport road is unblocked and smooth so that the material can be transported to the appointed area; 5. Seller shall not delay the delivery of required materials deliberately or for the reasons that Buyer does not accept, and Seller shall guarantee that the delivered materials comply with the construction requirement on site. This Contract is executed in duplicate in English; Buyer and Seller hold one respectively with the same level legal effect since the signature of both parties.
